These Terms of Service ("Terms") govern your access to and use of the products, software, APIs, SDKs, documentation, and related services provided by Salus Inc. ("Salus," "we," or "us") (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Services.

Salus offers a developer-focused API and software tools that evaluate, constrain, and validate actions performed by AI systems before execution.

The Services are designed to help teams implement runtime safeguards and policy enforcement around automated agents and workflows.

Salus provides software tools only and does not offer legal, compliance, medical, or other professional advice.

You may use the Services only if:

• You are legally capable of entering into a binding agreement; and
• You have authority to bind the individual or organization on whose behalf you are acting.

If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.

Certain features require an account.

You agree to:

• Provide accurate and current registration information
• Safeguard login credentials
• Promptly notify us of any suspected unauthorized access

You are responsible for activity conducted under your account.

You may not:

• Circumvent or attempt to bypass security mechanisms
• Interfere with system integrity or performance
• Access or probe systems without authorization
• Copy, reverse engineer, or replicate the Services except as permitted by law
• Use the Services in violation of applicable law

Salus reserves the right to suspend or terminate access for misuse or security risk.

You retain all rights to data submitted through the Services ("Customer Data").

You grant Salus permission to process Customer Data solely as necessary to deliver, maintain, and improve the Services.

Salus implements administrative and technical safeguards to protect data handled within the platform.

Access to certain features may require payment.

If you enroll in a paid plan, you agree to:

• Pay all applicable charges
• Provide valid billing information
• Authorize recurring payments where applicable

Unless otherwise agreed in writing, fees are non-refundable. Pricing may be updated with advance notice of 30 days or more.

The Services are provided on an "as available" and "as is" basis.

We do not guarantee uninterrupted, timely, or error-free operation.

We may update, modify, or discontinue features at our discretion.

All rights, title, and interest in the Services — including software, documentation, and related materials — remain the property of Salus Inc. and its licensors.

No ownership rights are transferred under these Terms.

Each party may receive confidential or proprietary information from the other.

The receiving party agrees to use reasonable care to protect such information and to use it only for purposes related to these Terms.

Information is not confidential if it is publicly available, independently developed, or lawfully obtained from a third party.

The Services are provided without warranties of any kind.

To the fullest extent permitted by law, Salus disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent allowed by law:

• Salus will not be responsible for indirect, incidental, special, consequential, or punitive damages, including loss of revenue or data.
• Salus’s aggregate liability arising from or related to the Services will not exceed the total fees paid by you to Salus during the 12 months preceding the claim.

You agree to defend and indemnify Salus and its personnel from claims or liabilities arising from:

• Your use of the Services
• Your violation of these Terms
• Your breach of applicable law

You may discontinue use of the Services at any time.

Salus may suspend or terminate access if these Terms are violated or if continued use poses security, legal, or operational risk.

Upon termination, your right to access the Services ends immediately.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

We may revise these Terms periodically.

Material changes will be reflected in an updated Effective Date.

Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
